Master Service Agreement (MSA)

Welcome to the services provided by Active Reach Intelligence LLP ("Company", "we", "us", or "our"). This Master Service Agreement ("Agreement" or "MSA") governs your access to and use of our platform, including the ActivePOS point-of-sale software, Active Commerce digital storefronts, and related infrastructure (collectively, the "Service"). By creating an account, clicking "I Agree", or utilizing the Service to process orders, you ("Merchant", "User", or "you") agree to be legally bound by this MSA and our Privacy Policy.

By creating an account, clicking "I Agree", or using any part of the Active Reach platform, you acknowledge that you have read, understood, and agree to be legally bound by this Master Service Agreement and our Privacy Policy.

Active Reach Intelligence LLP operates the Active Reach platform, providing end-to-end operational and customer engagement infrastructure. The Service includes:

To use the platform, you must register an account at active-reach.ai/register. You agree to provide accurate, current, and complete information during registration, including your legal business name as registered with applicable authorities (e.g., GST/PAN in India).

5. Third-Party Platform Terms

Critical — Platform Compliance

5.1 Meta Platform

When you connect your Meta Business Assets (Facebook Pages, Instagram Accounts, Ad Accounts, Catalogs, or Pixels) to Active Reach, you acknowledge and agree that:

  • Your use of Meta's services through Active Reach is subject to the Meta Platform Terms and Meta Business Tools Terms.
  • You are the sole owner or authorized administrator of the Meta Business Assets you connect.
  • Active Reach accesses Meta Platform Data (Ad Account IDs, Catalog IDs, Pixel IDs, campaign metrics) solely to provide the Service and does not sell, license, or share this data with third-party advertisers or ad networks.
  • You may disconnect your Meta accounts at any time via your workspace settings. Upon disconnection, Active Reach will cease collecting new data from Meta and will delete cached Meta Platform Data within 30 days upon request.
  • Active Reach does not store Meta user access tokens beyond the session required to perform authorized API calls on your behalf.

5.2 Google Platform

When you connect your Google Ads or Google Merchant Center accounts to Active Reach, you acknowledge and agree that:

  • Your use of Google's services through Active Reach is subject to the Google Ads Terms of Service, Google Merchant Center Terms of Service, and Google API Services User Data Policy.
  • You are the sole owner or authorized administrator of the Google accounts you connect.
  • Active Reach accesses Google Platform Data (Campaign IDs, Merchant Center IDs, product feed data, performance metrics) solely to provide the Service and does not sell, license, or share this data with third-party advertisers or ad networks.
  • You may revoke Active Reach's access to your Google accounts at any time via your Google Account permissions or workspace settings.

5.3 General Third-Party Terms

Active Reach integrates with various third-party services to provide the Service. You acknowledge that your use of these integrations may be subject to additional terms and policies imposed by those third parties. Active Reach is not responsible for changes to third-party platform terms, API availability, or service disruptions beyond our control.

6. Advertising Campaign Management

6.1 Ad Account Connection

By connecting your advertising accounts (Meta, Google, or other supported platforms) to Active Reach, you authorize us to access, create, modify, and manage advertising campaigns on your behalf within the parameters you define in your workspace settings.

6.2 Ad Spend Liability

You are solely responsible for all advertising spend incurred through your connected ad accounts. Active Reach facilitates campaign management but does not assume financial liability for ad spend, platform fees, or charges imposed by Meta, Google, or any other third-party advertising platform. All billing for ad spend occurs directly between you and the respective advertising platform.

6.3 Campaign Content

You are responsible for ensuring that all advertising content, creatives, landing pages, and product catalog data submitted through Active Reach comply with the advertising policies of the respective platforms (Meta Advertising Standards, Google Ads Policies) and all applicable laws. Active Reach may, but is not obligated to, review content for policy compliance.

7. Data Collection & Privacy

We collect and process data in accordance with applicable data protection laws. During onboarding, we capture your business details, consent timestamp, and IP address for compliance and audit purposes. Please refer to our Privacy Policy for full details on how we collect, use, and protect your information, including Meta Platform Data and Google Platform Data.

8. Intellectual Property

All intellectual property rights in the Active Reach platform, including software, design, trademarks, and content, are the exclusive property of Active Reach Intelligence LLP. Users are granted a limited, non-exclusive, non-transferable license to use the platform for their business operations.

9. Payment Terms

Subscription fees and usage charges are billed as per the plan selected during onboarding. All fees are exclusive of applicable taxes. Failure to pay may result in suspension of services. Advertising spend billed by third-party platforms (Meta, Google) is separate from Active Reach subscription fees and is governed by those platforms' billing terms.

10. DLT Compliance & Transactional Communication Services

Active Reach Intelligence LLP provides transactional communication services as part of the platform. These communications include digital bills, OTPs, receipts, and order notifications sent via SMS, WhatsApp, Email, and RCS to your customers.

10.1 Platform as Aggregator

The User acknowledges that Active Reach Intelligence LLP operates as a SaaS aggregator for the purpose of sending A2P (Application-to-Person) SMS communications. The platform is registered as a Principal Entity under the DLT (Distributed Ledger Technology) framework mandated by TRAI.

10.2 SMS Facilitation Authorization

By clicking "I Agree" and utilizing the Active Reach platform, the User hereby appoints Active Reach Intelligence LLP as its authorized technical facilitator for all A2P (Application-to-Person) SMS communications.

The User provides explicit consent for the Platform to:

  • Trigger transactional SMS (Digital Bills, Login OTPs, and Receipts) to the User's customers.
  • Utilize the User's registered Trade Name as a dynamic variable ({#var#}) within the Platform's approved DLT templates.
  • Use the Platform's registered Header (Sender ID) and Footer (- Active Reach) for all such communications to ensure DLT compliance.

10.3 Short-URL Domain

Transactional SMS may contain shortened URLs using the domain actii.me, which is the exclusive property of Active Reach Intelligence LLP. These URLs redirect customers to secure, itemized digital invoices and order summaries. The User acknowledges that all content served via this domain is under the full control of Active Reach Intelligence LLP.

10.4 Audit Trail & Consent Logging

For every User onboarded onto the Active Reach platform, the system captures and securely logs the following metadata as proof of the business relationship:

Timestamp of Consent Date and time the User accepted these Terms (YYYY-MM-DD HH:MM:SS)
IP Address The User's IP address at the time of consent
Legal Entity Name Verified business name captured from GST / Business PAN records

This metadata serves as the legal "Relationship Document" for DLT compliance and may be furnished to telecom operators or regulatory authorities upon request.

11. Limitation of Liability

To the maximum extent permitted by law, Active Reach Intelligence LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the platform, including but not limited to loss of profits, data, business opportunities, or advertising revenue. This includes any losses arising from third-party platform policy changes, account suspensions, or API disruptions.

12. Indemnification

The User agrees to indemnify and hold harmless Active Reach Intelligence LLP, its partners, employees, and affiliates from any claims, damages, losses, or expenses arising from the User's use of the platform, violation of these Terms, or breach of any third-party platform terms (including Meta and Google platform policies).

13. Termination

Either party may terminate this agreement with 30 days' written notice. Active Reach Intelligence LLP reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, misuse the communication services, or violate third-party platform policies. Upon termination, Active Reach will cease accessing your connected third-party accounts and delete cached platform data in accordance with our Privacy Policy.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued use of the platform after changes constitutes acceptance of the revised Terms.
