These Terms and Conditions ("Terms") govern your access to and use of the website active-reach.ai and the Active Reach platform (the "Service"), operated by Active Reach Intelligence LLP ("Active Reach", "we", "us", or "our"), a Limited Liability Partnership registered in India under LLPIN ACV-1729.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Account" means the workspace and user credentials you create to access the Service.
"User", "you", or "your" refers to the individual or entity accessing the Service.
"Platform" refers to the Active Reach AI-native marketing automation and customer engagement software.
"Content" means any data, text, media, or materials uploaded to, or generated by, the Service.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By registering, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete.

3. Account Registration

To access the Service, you must create an Account by providing your name, business email, mobile phone number, and company information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account.

You agree to notify us immediately at [email protected] of any unauthorized access to your Account.

Service Notifications and Consent

As a core function of the Active Reach platform, we provide automated reporting and system alerts. By registering an account and accepting these Terms, you explicitly opt-in to receive these transactional and service-related messages via SMS, Email, RCS, and other supported communication channels to your designated contact details. Standard messaging rates from your mobile carrier may apply. You may manage your notification preferences within your Active Reach dashboard.

4. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Use the Service in any way that violates applicable laws or regulations
Send unsolicited commercial messages (spam) through the platform without proper consent from recipients
Attempt to gain unauthorized access to the Service, other accounts, or related systems
Interfere with or disrupt the integrity or performance of the Service
Upload malicious code, viruses, or harmful content
Reverse engineer, decompile, or disassemble any portion of the Service
Use the Service to compete with Active Reach or build a competing product

5. Intellectual Property

The Service, including all software, design, text, graphics, logos, and technology, is owned by Active Reach Intelligence LLP and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended business purpose.

You retain ownership of Content you upload to the Service. By uploading Content, you grant Active Reach a limited licence to process, store, and display it as necessary to provide the Service.

6. Fees and Payment

Certain features of the Service may require payment. Fees, billing cycles, and payment terms will be disclosed at the time of subscription. All fees are non-refundable except as expressly stated otherwise. Failure to pay may result in suspension or termination of your Account.

7. Data Protection

We process personal data in accordance with our Privacy Policy, which forms part of these Terms. You are responsible for ensuring that any personal data you process through the Service complies with applicable data protection laws, including obtaining necessary consents from your end users.

8. Messaging Compliance

You acknowledge that the Service enables you to send communications (SMS, RCS, Email, WhatsApp) to your customers. You agree to:

Obtain and document proper opt-in consent from all message recipients
Comply with all applicable telecom regulations, including TRAI (India), TCPA (US), and equivalent laws in your jurisdiction
Honour opt-out and unsubscribe requests promptly
Not use the Service for sending unsolicited promotional messages without prior explicit consent

9. Availability and Warranties

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, Active Reach disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Active Reach Intelligence LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunity arising from your use of the Service. Our aggregate liability shall not exceed the fees you have paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Active Reach Intelligence LLP, its partners, employees, and agents from any claim, damage, loss, or expense arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your Account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

14. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Active Reach Intelligence LLP regarding the Service.
